TRADEMARKS & INTELLECTUAL PROPERTY:


On August 16th, 2002 SCRH announced that it had acquired Heir Holding Co. Inc. the owner of the intellectual property rights to the Scores(TM) trademark, name and brand. The acquisition was effected on August 13, 2002, through a 3 party merger. Pursuant to the merger, HEIR, now a wholly owned subsidiary of the SCRH, changed its name to Scores Licensing Corp. The rights to the Scores trademarks are established under common law based upon the substantial and continuous use of these trademarks in interstate commerce since at least as early as 1991. HEIR registered its service mark, Scores, with the United States Patent and Trademark Office. It also obtained service mark registrations from the Patent and Trademark Office for the Scores service mark. There can be no assurance that the steps that have taken to protect the service marks will be adequate to deter misappropriation.

The Scores name is one of the most recognizable names in adult entertainment and SCRH intends to maximize the value of the brand through licensing the Scores name to top-tier adult nightclubs that can meet its stringent quality-of-experience criteria and financial parameters. Merchandising also represents great potential for the SCRH as Scores-branded merchandise has immense appeal to a large demographic segment of the population. The Scores name has received a significant amount of media exposure and become a household name over the years. Television segments about Scores have appeared on television talk shows and it has been featured prominently on the CBS radio and television networks. Scores' business has consistently resisted economic downturns and current research suggests that the adult entertainment industry will continue to grow. Northwestern University's Medill News Service estimates that the annual market for adult entertainment clubs is $8 billion in the United States and $20 billion worldwide.
